At closing the deal equates to an equity value of about USD 13.9 billion (USD 3.3 billion in cash and USD 10.6 billion in new Shell shares) and an enterprise value of about USD 16.5 billion including roughly USD 2.5 billion of net debt and leases. The acquisition adds approximately 370 kboe/d of production, and Shell expects double-digit returns and free cash flow per share accretion from 2027.
Magnolia Oil & Gas completed its acquisition of WildFire Energy, a South Texas Eagle Ford and Austin Chalk producer, in a deal announced July 20, 2026 and valued at approximately USD 4.06 billion including debt. WildFire owners receive 32.2 million shares of Magnolia Class A common stock, and Magnolia assumes WildFire’s USD 600 million of 2029 notes. The assets add about 53,000 Boe/d of production (roughly 70% oil) and 810,000 net Giddings acres, with at least USD 100 million of annual synergies expected and an immediate 9% dividend increase.
Enbridge agreed to acquire Tallgrass Energy’s crude oil business for USD 2.55 billion in cash, an estimated 10-11x forward EV/EBITDA. The package includes 75% of the Pony Express Pipeline (about 460 kbpd from the Rockies to Cushing), 51% of the Powder River Gateway system, about 8.4 million barrels of storage across nine terminals, and the Stanchion Energy crude marketing business. It also brings the USD 0.3 billion PXP2 expansion, and the deal is expected to close later in 2026, subject to customary regulatory approvals including Hart-Scott-Rodino clearance.
Diversified Energy agreed to acquire Birch Permian Holdings, a Permian Basin oil and gas producer, from affiliates of Elliott Investment Management for approximately USD 1.8 billion, its largest acquisition to date. The deal is funded primarily by a roughly USD 1.5 billion asset-backed securitization structured with Carlyle, plus revolver liquidity. Birch adds about 68 Mboepd of production and roughly USD 548 million of annualized Adjusted EBITDA (about 3.3x), lifting Diversified’s production about 35%. Closing is expected in the fourth quarter of 2026, subject to customary conditions, with a USD 50 million break fee.
Talos Energy completed its bolt-on acquisition of Gulf of America deepwater oil assets from Shell Offshore, jointly with an affiliate of Ridgewood Energy. They add about 23 MMBoe of proved reserves and roughly 16 MBoe/d of production, about 77% oil.

V on September 25, 2026, at a pro forma enterprise value of USD 401.4 million. The combined company, GOWell Energy Technology, begins trading on Nasdaq under “GOW” on September 28, 2026. ESENTIA Energy Development agreed to acquire 100% of Energía Occidente de México, owner of the roughly 313-km Guadalajara-Manzanillo natural gas pipeline system, from TC Energía Mexicana and TCPL CentrOriente for a gross purchase price of USD 400 million. The pipeline connects directly to ESENTIA’s existing system and would extend its network to the Port of Manzanillo, making it the only private company with an integrated pipeline from the Permian Basin to Mexico’s Pacific coast. It will be funded with available liquidity and existing credit facilities, without increasing gross indebtedness, and closing is subject to customary conditions and regulatory approvals.
DNO, through its acquisition vehicle DNO Bidco AS, agreed to a recommended cash acquisition of Capricorn Energy plc, an Egypt-focused oil and gas producer, at USD 5.214 per share (USD 4.224 in cash plus a USD 0.99 special dividend). The deal marks DNO’s entry into Egypt, is conditional on Capricorn shareholder approval and Egyptian consent, and is expected to become effective in Q4 2026 or Q1 2027.
