Baldwin Group agreed to be taken private by Sequence Holdings and Dell Family Office (DFO Management) in an all-cash deal valued at about $7.7 billion, or roughly 20x trailing-twelve-month Adjusted EBITDA of about $396 million. Shareholders will receive $32.50 per share, an 88% premium to the unaffected June 17, 2026 close, and the total comprises about $4.6 billion of equity value plus about $3.1 billion of net debt. Eligible Baldwin colleagues will roll over a significant minority stake, and the deal is expected to close in Q1 2027, subject to shareholder and regulatory approvals.
WaFd, Inc. agreed to a roughly $3.9 billion reverse merger with EverBank Financial Corp, in which EverBank merges into WaFd, which then renames itself EverBank Financial Corp, with EverBank as the accounting acquirer. EverBank’s investors, including Stone Point Capital, Warburg Pincus, Reverence Capital Partners, Sixth Street, Bayview Asset Management, and TIAA, will own about 59.2% of the combined company, and WaFd shareholders will own about 40.8%. The deal is expected to deliver about 29% EPS accretion in 2027 for WaFd shareholders and a pro forma return on tangible common equity of about 15%. It is expected to close in early 2027, subject to regulatory and WaFd shareholder approvals.
Permira, through funds advised by Permira Advisers LLP and alongside co-investor Canada Pension Plan Investment Board, has completed its £2.7 billion enterprise value take-private of JTC, which has de-listed from the London Stock Exchange. The deal paid shareholders 1,340 pence per share in cash, a 49.4% premium to the pre-offer share price and about 26.2x pre-IFRS 16 adjusted EBITDA, and was made primarily through Permira VIII. JTC, a fund, corporate, private client and employer solutions provider, will keep its name, brand, and management team under CEO Nigel Le Quesne, and plans to double in size through technology and AI investment and acquisitions in North America and Europe.
United Community Banks completed the sale of its equipment finance business, Navitas Credit Corp. and NLFC Reinsurance Corp., to funds managed by Wafra Inc. for approximately $2.0 billion in cash, up from the $1.9 billion announced in June 2026. The price reflects a 7% premium to the par value of Navitas’ loan portfolio. Navitas made up about 10% of United’s loans but roughly 50% of its trailing-twelve-month net charge-offs, and the sale is expected to add 145 basis points of CET1 capital and a one-time pre-tax benefit of $109 million. United will refocus on its core Southeastern relationship banking business, while Navitas’ management and employees are expected to stay on under Wafra.
Priority Technology Holdings agreed to be taken private by an investor group led by Chairman and CEO Thomas Priore, with equity commitments from funds advised by Searchlight Capital Partners, in an all-cash deal valued at about $1.6 billion enterprise value. Stockholders will receive $8.05 per share, a 65% premium to the unaffected November 7, 2025 close and a 38% premium to the September 18, 2026 close, after negotiations lifted the price by more than 30% from the initial proposal. The special committee unanimously recommended the deal, which is not subject to a financing condition but requires regulatory approvals and a majority vote of unaffiliated stockholders, and it is expected to close in the first half of 2027.

Grab Holdings agreed to acquire a controlling 60% stake in Atome Financial, the digital financial services platform of Advance Intelligence Group, in cash for $1.49 billion, of which $0.26 billion is primary growth capital. Grab has also agreed to buy the remaining 40% about two years after closing at a performance-based valuation (13.0x annualized adjusted EBITDA and 2.5x annualized revenue, weighted 75/25), with a floor of $2.0 billion and a cap of $4.5 billion. Atome operates across five Southeast Asian markets with about a $1 billion gross loan portfolio, and Grab expects the combined Financial Services segment to reach $500 million in Adjusted EBITDA by 2028. The first phase is funded from existing cash and is expected to close by the third quarter of 2027, subject to regulatory approvals.
Figure Technology Solutions completed its acquisition of Kiavi, the largest Residential Transition Loan lender, for a total purchase price of $717 million, announced June 10, 2026. Figure acquired Kiavi’s technology and operating platform, while a joint venture between Figure and Sixth Street purchased loans off Kiavi’s balance sheet. Kiavi reported over $250 million in revenue and over $100 million in EBITDA last year, and it is expected to add about $7 billion in annual volume to Figure’s blockchain-native marketplace. Kiavi CEO Arvind Mohan joins Figure as Chief Business Officer to lead the rollout across Figure’s ecosystem of more than 480 partners.
Chariot Re, a Bermuda-based Class E life and annuity reinsurer, closed an oversubscribed third capital raise of approximately $700 million in equity and debt, led by Chubb with participation from sponsors MetLife and General Atlantic. The raise brings total funding since its July 2025 launch to over $2 billion, supporting the reinsurance of roughly $20 billion of liabilities across three completed transactions. The new capital will expand capacity to scale the platform, with MetLife Investment Management and General Atlantic serving as exclusive asset managers.
Chime agreed to acquire Stride Bank, N.A., its bank partner of more than seven years, for $590 million in cash, about 1.5x Stride’s tangible book value. Stride will become Chime Bank, N.A., a wholly owned subsidiary, giving Chime its own national charter, eliminating partner-bank fees, and lowering its cost of funds, with more than $100 million in net synergies expected and immediate EPS accretion. Chime will fund the deal from balance sheet cash and keep assets below $10 billion, and the deal is expected to close in the first half of 2027, subject to OCC and Federal Reserve approvals.
KKR launched Akrapoint Commercial Capital, a new mid-ticket equipment finance platform, with a $350 million commitment from funds managed through its Asset Based Finance strategy. Akrapoint will finance vocational assets, specialty trailers, and industrial equipment for small and middle-market U.S. businesses across industries such as manufacturing, energy, construction, and transportation. It is led by CEO Nate Smith, formerly of Trans Lease, with Gary Shivers, founder of Navitas Credit Corp, as board chair, and it is backed by KKR’s ABF platform, which manages more than $91 billion.
